Terms of service
1. Purpose
These terms govern the commercial agency and business introduction services provided by ROBINSONN LIMITED (the "Agent") to a client firm (the "Client"). The specific terms of each engagement are confirmed separately in writing.
2. Services
The Agent identifies and pre-qualifies prospects and introduces them to the Client. The Agent acts solely as an introducer and is not a party to any engagement subsequently agreed between the Client and the introduced prospect.
3. Commission
The Agent is remunerated by a commission (success fee), agreed in writing, payable when an introduced prospect signs an engagement with the Client. The rate, the payment trigger and the payment terms are defined in each written agreement.
4. No guarantee of conversion
The Agent provides introductions, not outcomes. No conversion, revenue or particular result is guaranteed. The decision to engage an introduced prospect, and on what terms, rests entirely with the Client.
5. Role and independence
The Agent acts as an independent contractor. The Agent is not an employee, partner or representative of the Client and has no authority to negotiate or bind the Client unless expressly agreed in writing.
6. Confidentiality
Each party keeps confidential the non-public information shared by the other in connection with the introduction and uses it only for that purpose.
7. Non-circumvention
For the period agreed in writing, the Client will not seek to bypass the Agent in order to avoid commission on a prospect introduced by the Agent, whether directly or through an affiliate.
8. Liability
The Agent is not liable for the conduct, performance or outcome of any engagement entered into between the Client and an introduced prospect.
9. Data protection
Personal data shared in the course of an introduction is handled in accordance with the privacy policy and applicable data protection law.
10. Governing law
These terms are governed by the laws of England and Wales, and any dispute falls under the jurisdiction of the relevant courts.
